AFFILIATE PARTNER UNDERTAKING

British Learning and Accessories Private Limited

This Affiliate Partner Undertaking governs participation in the BritishLearning.UK Affiliate Partner Program and is legally binding under the Indian Contract Act, 1872.

By accessing this page and clicking “I have read and accepted”, the individual or entity (“Affiliate Partner”) confirms full acceptance of all terms stated herein.

If you do not agree, you must not proceed further.

This Undertaking is made in favour of: British Learning / BritishLearning.UK (“Company”)

1. Nature of Relationship

The Affiliate Partner acknowledges and agrees that:

  • The Affiliate Partner acts solely as an independent referral affiliate.

  • No employer–employee, agency, franchise, partnership, or representative relationship exists.

  • The Affiliate Partner has no authority to bind the Company in any manner whatsoever.

2. Scope of Permitted Activity

The Affiliate Partner may only:

  1. Refer prospective learners to BritishLearning.UK using Company-approved referral methods.
  2. Share only Company-approved digital creatives and promotional materials.

No other activity is authorised.

3. Absolute Prohibitions

The Affiliate Partner agrees that:

  • All visiting cards, promotional materials, and online representations must clearly state:
    “Affiliate Partner – BritishLearning.UK.”
  • Only the Affiliate Digital Badgeor Affiliate Partner Logoprovided by the Company may be used.
  • The primary Company logo or trademarks shall not be used unless expressly authorised in writing.
  • No modification, recreation, or derivative use of Company creatives is permitted.

5. Incentives & Payments

  • Incentives are performance-based and not guaranteed.
  • All commissions shall be credited directly to the Affiliate Partner’s registered bank account after enrolment verification and deduction of applicable certificate or processing charges.
  • The Company’s internal validation and payment cycle shall be final.

6. Data Protection & Confidentiality

The Affiliate Partner undertakes to:

  • Maintain strict confidentiality of all student and Company data.
  • Use leads solely for authorised referral purposes.
  • Comply with all applicable data protection, telemarketing, and advertising laws.
  • Immediately delete all Company data upon termination.

7. Intellectual Property

All trademarks, logos, creatives, brochures, digital badges, and content are the exclusive property of the Company.

Unauthorised use constitutes intellectual property infringement and grounds for immediate termination and legal action.

8. Indemnity

The Affiliate Partner irrevocably agrees to indemnify and hold harmless the Company, its directors, officers, employees, and associates against all losses, claims, damages, penalties, liabilities, costs, and legal expenses arising from:

  1. Breach of this Undertaking;
  2. Misrepresentation or misconduct;
  3. Intellectual property violations;
  4. Regulatory non-compliance;
  5. Any third-party claims attributable to the Affiliate Partner.

9. Limitation of Liability

The Company’s maximum liability, if any, shall be strictly limited to refund of the onboarding fee paid by the Affiliate Partner.

Under no circumstances shall the Company be liable for indirect, consequential, reputational, or business losses.

10. Termination

The Company may terminate the Affiliate Partner’s access immediately and without notice upon breach, misrepresentation, fraud, or branding violation.

Upon termination, all use of Company branding and representation must cease immediately.

11. Governing Law & Jurisdiction

This Undertaking shall be governed by the laws of India.

All disputes shall be subject to the exclusive jurisdiction of the competent courts at Mumbai.

12. Deemed Acceptance

By accessing this document and clicking “I have read and accepted”, the Affiliate Partner confirms:

  • Full understanding of all terms
  •  Voluntary acceptance
  •  Legal capacity to contract
  •  Agreement to be bound by this Undertaking

This acceptance shall constitute a valid and enforceable electronic agreement.
